Texas training-business sale preparation: map approval and exemption status

Identify whether each program has a TWC Certificate of Approval or an exemption before evaluating an ownership change. The state’s career-school materials distinguish approved and exempt providers; do not assume one program’s status covers every offering.

Build the Texas approval map first

Start with the operating entity, each program and the sites used to deliver instruction. Record the evidence for the school’s Certificate of Approval or exemption, rather than treating a general training description as a regulatory classification. Different offerings may raise different oversight questions.

For an ownership proposal, discuss the transaction structure with TWC before committing to a timeline. Its Chapter 807 framework includes ownership-change application provisions. The preparation task is to identify the applicable route and evidence, not to decide privately that the school can continue under the same approval.

  • Current approval or exemption documentation by program.
  • A diagram of the current and proposed ownership entities.
  • An inventory of locations and any simultaneous program changes.

Prepare the business evidence alongside the application

Regulatory review is one part of a transaction. Reconcile program-level financials and tuition obligations with your accountant. Identify instructor coverage, curriculum rights, equipment access and employer contracts that require attention. Keep personally identifying learner and employee information in a controlled private file.

If the business provides regulated entry-level driver training, review the FMCSA Training Provider Registry requirements independently of the state process. A federal listing does not replace a state school review.

  • Which entity holds each approval?
  • Does the transaction require a full or partial ownership-change application?
  • Which programs and locations are covered?

Turn the open questions into a transition plan

Create a decision log with the question, responsible advisor or authority, evidence requested and next action. Avoid promising a closing date until the necessary parties have considered the transaction structure.

Use the private checklist on the TrainingExits homepage to organize your own preparation. It requests no identity or contact details. A human advisor should review the business-specific records before you rely on any conclusion.
